Terms of Service

These terms govern your use of Latch (the "Service"), operated by [LEGAL ENTITY NAME] ("Latch", "we"). By joining the waitlist, subscribing, or using the Service you agree to them.

1. What Latch is

Latch checks connected tools (for example mail counts, calendars, sales and storage metadata) on a schedule and shows a summary, with links that open the original app. Latch is in alpha: features, connectors and limits may change, be delayed, or be withdrawn. Connectors listed on our site may not yet be available.

2. Accounts and seats

Plans are billed per organization, not per person, and include a number of seats and usage allowances (for example refreshes and Butler jobs) as described on our pricing section. Extra seats are billed at the listed rate. You are responsible for activity under your organization's accounts and for keeping credentials secure. You must be at least 18 and able to bind your organization.

3. Plans, billing and renewal

Paid plans are monthly subscriptions, billed in advance through Stripe and renewing automatically until cancelled. Prices are in US dollars and exclude taxes unless stated. You can cancel at any time through the Stripe customer portal or by emailing us; cancellation takes effect at the end of the current billing period. We may change prices with at least 30 days' notice before your next renewal.

4. Refunds

If you are unhappy in your first 14 days on a paid plan, email us and we will refund that first payment in full. After that, fees are non-refundable except where required by law; we do not prorate partial months.

5. Usage limits

Each plan has fair-use limits (seats, refreshes per day, Butler jobs per seat per day and per organization per month, storage and connector limits). When a limit is reached, the affected feature may queue, pause, or require an upgrade. We may throttle or suspend usage that threatens the stability or cost of the Service for others.

6. Your data and connections

You keep all rights to your data and to the third-party accounts you connect. When you connect a service, you authorize Latch to access it only as described in our Privacy Policy: Latch is designed to read counts, status, schedules and links, and does not read or store email bodies, subjects or attachments. You are responsible for having the right to connect the accounts you add and for complying with the terms of those third-party services. You can disconnect any connector at any time.

7. Acceptable use

Do not use Latch to break the law, to access accounts you are not authorized to use, to probe or attack systems you do not own (including through the API monitor), to send spam, to interfere with the Service, or to resell it without our written agreement.

8. Third-party services

Latch depends on third parties such as Cloudflare, Stripe, Google, Microsoft, Salesforce and others you connect. Their availability, changes to their APIs, and their own terms are outside our control, and a connector may stop working if a third party changes or restricts access.

9. Butler and automated output

Butler features use automated models and may be wrong. Output is a convenience, not professional, legal, financial or medical advice. Review it before relying on it.

10. Availability and alpha disclaimer

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Snapshots are periodic, not real-time, and we do not guarantee uptime, accuracy or timeliness of any count or status. Do not rely on Latch as your only alert or system of record.

11. Limitation of liability

To the maximum extent permitted by law, Latch is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 3 months before the event giving rise to the claim.

12. Suspension and termination

You may stop using Latch at any time. We may suspend or terminate access for breach of these terms, non-payment, or to protect the Service. On termination we will delete or de-identify your organization's data within a reasonable period, as described in the Privacy Policy.

13. Changes

We may update these terms. For material changes we will give notice by email or in the Service. Continued use after the effective date means you accept the changes.

14. Governing law

These terms are governed by the laws of [STATE / COUNTRY], without regard to conflict-of-law rules, and disputes will be brought in the courts located in [COUNTY, STATE].
